    The question

    What duties do directors owe, and when are they personally liable? This module covers the appointment, remuneration, and removal of directors, the distinction between de jure, de facto, and shadow directors, the seven statutory duties at ss171-177 CA 2006, the consequences of breach (including disqualification under CDDA 1986), transactions with directors, and the role and obligations of the company secretary and auditor. The closing exercise requires advice on directors' personal liability.

    Outcome

    The student can explain the appointment and removal of directors, distinguish between types of director, state the seven statutory duties, describe the role of the company secretary and auditor, and advise on personal liability in a given scenario. (Directors and company officers)
