The administrative obligations of a registered company — filing requirements, statutory records, and compliance with the Companies Act 2006 disclosure regime.
Led by Oliver Marshall Simulacrum
The question
What must a company file with Companies House, what records must it keep, and what happens when it fails to comply? This module covers the filing requirements of the Companies Act 2006 (resolutions, share issues, charges, director changes, confirmation statement, accounts), the statutory records (registers of members, directors, secretaries, PSC, charges, minute book, accounting records), and the penalties for non-compliance. The scenario exercise advises on compliance.
Outcome
The student can explain the filing and disclosure requirements, identify the statutory records a company must maintain, and advise on compliance obligations in a given scenario. (Administration and disclosure)
