The question
How are partnerships formed in English law, and what are the legal consequences of becoming a partner? This module covers the formation requirements for general partnerships (no registration needed), limited partnerships (at least one general partner with unlimited liability), and LLPs (body corporate, registered at Companies House). It then examines the agency, fiduciary, and contractual relationships between partners under the Partnership Act 1890 — including liability for partnership debts, the duty not to compete, and the obligation to account for private profits. The scenario exercise requires the student to advise on partnership type and draft agreement clauses.
Outcome
The student can explain the formation requirements for all three partnership forms, describe the powers, duties, and liabilities of partners under the relevant statutes, and draft partnership agreement clauses for a client scenario. (Partnership formation and management)
