Termination and dissolution of partnerships — by notice, court order, or insolvency — including change of partners, asset distribution, and the Insolvent Partnerships Order 1994.
Led by Frederick Pollock Simulacrum
The question
What happens when a partnership comes to an end — and what should the practitioner do? This module covers the three routes to dissolution under PA 1890 (automatic, by notice, by court), the distribution of assets under s44, the procedure when partners change (retirement, death, expulsion), and the effect of insolvency on each type of partnership. The closing exercise is a client scenario requiring practical advice on partnership termination.
Outcome
The student can explain the procedures and effects of partnership termination, describe the process when partners change, apply the insolvency provisions, and advise a client on the appropriate actions when a partnership terminates. (Partnership termination)
